Among the new owners was the former vice-governor of Primorye Sergei Peredriy , whose wife, according to open sources, is the sister of the former Minister of Economic Development and Trade of Russia German Gref . Peredriy himself is an ally of ex-governor Sergei Darkin , who is affiliated with the second new co-owner of Geotex. And then an extraordinary meeting of shareholders arrived, at which they plan to re-elect the board of directors. But first things first.

Let us recall that during the Eastern Economic Forum on September 3, 2021 in Vladivostok, an agreement was signed to invest 52 billion rubles in the comprehensive development of fishing logistics in the Russian Federation. In the next three years, it is planned to invest 52 billion rubles in the ports of Murmansk, Sakhalin and Kamchatka. And for Vladivostok they planned to create a new fishing port. Was the old fishing port out of business?

Earlier, REGNUM news agency already talked about the situation in the territory of the Vladivostok fishing port, where searches took place in March 2021 related to the case of the export of scrap metal worth more than 1 billion rubles. His defendant was Denis Sarana , who was the beneficiary of a large stake in Vladivostok Sea Fishing Port OJSC (VMRP).

Information: VMRP is the legal successor of the state enterprise of the same name, created in 1938. The port area is over 370 thousand square meters. m, 146 thousand of which are open warehouses. VMRP today is one of the largest operators of marine terminals.

Dispute over berths

In August 2021, the Moscow Arbitration Court made a positive decision on the claim of the Federal State Unitary Enterprise “National Fish Resources”, which is controlled by Rosrybolovstvo and Rosimushchestvo. We are talking about the termination of the lease agreement for federal real estate - berths and the obligation to transfer them “together with all inseparable improvements in the manner prescribed by the lease agreement.” Berths No. 44−54 with a length of 2019.35 linear. m on Berezovaya Street, 25, the court decision must be returned to the Federal State Unitary Enterprise within 14 calendar days from the date the decision in this case enters into legal force. The verdict will come into force on September 12, 2021. The appeal is not yet included in the case file.

If the court decision is not executed voluntarily, then within 30 days the property will be forcibly confiscated from Vladivostok Sea Fishing Port OJSC.

At the heart of the dispute was a lease agreement dated August 14, 2021, which transferred the berths for 49 years, but with one caveat. The agreement included the tenant’s investment obligations, according to which he had to “including with the involvement of third parties - residents of the free port of Vladivostok” to create and modernize port and other infrastructure. The plans also included the modernization of “specialized refrigeration and storage infrastructure for the transshipment and storage of fish, fishery products and seafood,” including the construction of a refrigerated warehouse on the port territory, which would ensure an increase in the port’s transshipment capacity to 500,000 tons of fish, fishery products and seafood for the calendar year. The document outlined the stages of implementation of the plan, the deadlines for which have now expired.

It was also assumed that the tenant, by December 31, 2030, will carry out “renovation (modernization) of the existing specialized refrigeration and storage infrastructure belonging to him by right of ownership or on another legal basis for transshipment and storage of fish, fish products and seafood, as well as a container terminal (site) "

In December 2021, the National Fisheries Resources Commission conducted an inspection, which revealed that the tenant “arbitrarily and unilaterally,” without agreeing with the owner of the berths, changed the terms of construction and commissioning of refrigerator No. 1. There were other complaints.

In general, according to the commission, the tenant did not fulfill the investment conditions under the agreement, and therefore, on December 28, 2020, the lessor sent a request for its early termination. The demand was not satisfied, which became the basis for going to court.

The tenant insisted that he “complied with the contract in good faith and did not consider it terminated,” stating that the termination was illegal.

The court weighed all the arguments and granted the claim for the seizure of the berths. Now it's up to the appeal. Unless, of course, the defendant plans to appeal the decision.

Change of owners

The effective part of the verdict in the berth case was announced on August 4, 2021, and on August 13, a record appeared in the Unified State Register of Legal Entities about the appearance of two new co-owners in the Moscow Geotex LLC, which owns almost 52% of the shares in Vladmorrybport. Thus, by the end of August 2021, it had four owners, two of which, namely SPARKLER HOLDINGS PTE. LTD (Singapore, SPARKLER HOLDINGS PTE, LTD) and Dmitry Valerievich Martynov appeared earlier.

Information: Valery Martynov held the position of deputy general director of Vladmorrybport in 2013-2016, and as of June 2021 he was an adviser to the general director of Geotex and a member of the board of directors of the port.
